1. Agreement to Terms

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and The Dad Unit ("we," "us," or "our"), concerning your access to and use of the thedadunit.com website, the DadUnit mobile application, and any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the "Services").

By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by all of these Terms of Service. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF SERVICE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. Intellectual Property Rights

Unless otherwise indicated, the Services are our proprietary property and all source code, databases, functionality, software, website and app designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, foreign jurisdictions, and international conventions.

3. User Representations

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Terms of Service; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

4. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. The Services may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.

As a user of the Services, you agree not to:

  • Systematically retrieve data or other content from the Services to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
  • Make any unauthorized use of the Services, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses.
  • Use a buying agent or purchasing agent to make purchases on the Services.
  • Use the Services to advertise or offer to sell goods and services.
  • Circumvent, disable, or otherwise interfere with security-related features of the Services.
  • Harass, abuse, threaten, or otherwise violate the rights of other users of the Services, including in community features, messaging, or forums.

5. Subscription Services and Billing

The Dad Unit offers subscription-based access to certain features of the Services. Subscriptions are available through two separate channels: directly through thedadunit.com (a "Website Subscription") and through the Apple App Store or Google Play Store (a "DadUnit Pro Subscription"). The billing terms, cancellation procedures, and refund policies differ between the two and are described below.

5A. Website Subscriptions

Some parts of the Services are billed on a subscription basis when purchased directly through thedadunit.com. You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the plan you select.

At the end of each Billing Cycle, your Website Subscription will automatically renew under the same conditions unless you cancel it or The Dad Unit cancels it. You may cancel your Website Subscription either through your online account management page on thedadunit.com or by contacting our customer support team at support@thedadunit.com.

For monthly Website Subscriptions, you may cancel at any time. Cancellations take effect at the end of your current billing period. You will continue to have access to the service until the end of your paid billing period. No refunds will be provided for partial months of service unless required by applicable law.

A valid payment method, including credit card or PayPal, is required to process payment for your Website Subscription. You agree to provide The Dad Unit with accurate and complete billing information, including full name, address, state, zip code, telephone number, and valid payment method information.

5B. DadUnit Pro Subscription (App Store and Google Play)

DadUnit Pro is an auto-renewing subscription that unlocks features of the DadUnit mobile app and is sold exclusively through the Apple App Store and Google Play Store.

  • Payment will be charged to your Apple ID or Google Play account at confirmation of purchase.
  • Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
  • Your account will be charged for renewal within 24 hours prior to the end of the current period at the cost of the chosen package.
  • You can manage and cancel your DadUnit Pro Subscription by going to your account settings on the App Store or Google Play after purchase. The Dad Unit cannot cancel a DadUnit Pro Subscription on your behalf.
  • Any unused portion of a free trial, if offered, will be forfeited when you purchase a subscription.
  • Refunds for DadUnit Pro Subscriptions are handled by Apple or Google in accordance with their respective policies. The Dad Unit does not directly issue refunds for purchases made through the App Store or Google Play.

Your use of DadUnit Pro is also subject to the applicable terms of the Apple App Store and Google Play Store. In the event of a conflict between those terms and these Terms of Service regarding billing, cancellation, or refunds for a DadUnit Pro Subscription, the applicable App Store or Google Play terms control.

6. Coaching Services

The Dad Unit offers 1:1 coaching as a separate, human-delivered professional service. Coaching is sold exclusively through thedadunit.com and is governed by a separate coaching agreement provided to clients at the time of purchase.

Coaching services are not sold through the DadUnit mobile app and are not included in or unlocked by any subscription purchased through the Apple App Store or Google Play Store. Coaching sessions are conducted outside the app (including but not limited to video conferencing platforms such as Zoom), and coaching materials are delivered to clients outside the app.

Coaching clients may be provisioned access to features of the DadUnit mobile app as part of their separate coaching engagement, for the purpose of receiving training programs, tracking progress, and communicating with the community. Such app access is incidental to and not the substance of the coaching relationship. Nothing in these Terms of Service or in any subscription purchased through the Services creates a coaching relationship, fiduciary duty, or medical or healthcare professional relationship between you and The Dad Unit.

7. Health and Fitness Disclaimer

The Services, including all training programs, workouts, nutritional information, and coaching content, are provided for general informational and educational purposes only. They are not intended to be, and should not be construed as, medical advice, diagnosis, or treatment.

You should consult with a qualified physician or healthcare professional before beginning any exercise program, changing your diet, or taking any action based on information provided through the Services. This is especially important if you have any pre-existing medical condition, are pregnant, are taking medication, or have any reason to believe that exercise or dietary changes could harm your health.

You acknowledge and agree that:

  • Participation in physical exercise and fitness activities carries inherent risks, including but not limited to injury, illness, and in rare cases, death.
  • You voluntarily assume all risks associated with your use of the Services and your participation in any training program, workout, or nutritional plan provided through the Services.
  • The Dad Unit, its owners, employees, coaches, and contractors are not responsible for any injury, illness, or other harm that may result from your use of the Services.
  • If you experience any pain, discomfort, dizziness, shortness of breath, or other symptoms while using the Services, you should stop immediately and seek appropriate medical attention.

By using the Services, you confirm that you are in good physical health, that you have consulted a physician if appropriate, and that you are voluntarily participating in any activities described or prescribed through the Services.

8. Term and Termination

These Terms of Service shall remain in full force and effect while you use the Services. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS OF SERVICE, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TERMS OF SERVICE OR OF ANY APPLICABLE LAW OR REGULATION.

9. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time or for any reason at our sole discretion without notice. However, we have no obligation to update any information on the Services. We also reserve the right to modify or discontinue all or part of the Services without notice at any time. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services.

10. Governing Law

These Terms of Service and your use of the Services are governed by and construed in accordance with the laws of the State of Texas applicable to agreements made and to be entirely performed within the State of Texas, without regard to its conflict of law principles.

11. Disclaimer

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, COACHES, CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, PERSONAL INJURY, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
